Cancellation & Termination Policy

Clear guidelines on service cancellation, contract termination, and post-termination data handling.

Policy Notice: This Cancellation & Termination Policy is aligned with the Indian Digital Personal Data Protection Act (DPDP Act 2023), the EU/UK General Data Protection Regulation (GDPR), and prevailing IT service regulations.
Last Updated: November 1, 2028 • Effective Date: November 1, 2028

1. Overview & Scope

This policy outlines the official procedures, notice periods, financial liabilities, and data lifecycle protocols governing the cancellation or termination of IT consulting, software development, cloud infrastructure, AI development, and managed IT services provided by TechnoPlanet Enterprise (“Company”, “we”, “us”) to clients and enterprise subscribers (“you”, “Client”).

This policy operates in conjunction with our Terms of Use, Privacy Policy, Refund Policy, and any executed Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a direct conflict between an executed custom MSA/SOW and this general policy, the terms of the signed MSA/SOW shall prevail.

2. Cancellation of Fixed-Scope / One-Time Projects

A “One-Time Project” refers to any engagement with a predefined scope, deliverables, and timeline (e.g., custom software development, mobile application builds, cloud migration, security architecture setup, or website development).

  • Cancellation by Client: The Client may cancel a project prior to full completion by serving formal written notice to their designated Project Manager with a copy to policy@technoplanetenterprise.com.
  • Payment Liability Upon Cancellation: Upon receipt of cancellation notice, work shall cease immediately or per an agreed ramp-down plan. The Client shall remain liable for:
    • All engineering, architectural, and consulting hours rendered up to the effective time of cancellation.
    • All milestones achieved or deliverables substantially completed up to the date of notice.
    • Any committed third-party expenses, non-cancellable cloud infrastructure, software licenses, or APIs procured specifically on behalf of the Client.
  • Deposits & Advance Retainers: Initial project setup deposits and kickoff retainers are non-refundable as they cover resource allocation and architectural design. Please review our Refund Policy.

3. Termination of Recurring / Retainer Services

A “Recurring Service” refers to ongoing operational engagements billed periodically (e.g., Managed IT Services, 24/7 NOC monitoring, Annual Maintenance Contracts (AMC), Cloud FinOps retainers, or SaaS licensing).

  • Standard Notice Period: Either party may terminate a recurring service contract without cause by providing a minimum of thirty (30) calendar days’ prior written notice to the other party, unless a different notice window is specified in the applicable SOW.
  • Services During Notice Period: TechnoPlanet Enterprise will continue rendering support, maintenance, and monitoring through the 30-day notice window to ensure business continuity.
  • Final Billing: Invoices for the duration of the 30-day notice period will be issued and remain payable in full. We do not provide prorated refunds or mid-cycle credits for early discontinuation during a billing period.

4. Termination for Cause & Immediate Suspension

TechnoPlanet Enterprise reserves the right to suspend or terminate services immediately, without liability, by written notice if:

  • The Client commits a material breach of the Terms of Use, Privacy Policy, or Service Agreement and fails to cure such breach within 14 days of written notice.
  • The Client fails to pay outstanding invoices within 30 days of the due date following formal payment reminders.
  • The Client utilizes the infrastructure, software, or services for illegal activities, malware distribution, unauthorized vulnerability exploitation, or regulatory violations.
  • The Client undergoes insolvency, bankruptcy, or liquidation proceedings.

5. Intellectual Property & Deliverables Upon Termination

Upon termination and subject to receipt of full and final payment for all outstanding invoices:

  • TechnoPlanet Enterprise will release and assign to the Client all completed custom deliverables, code repositories, documentation, and design assets explicitly developed for the Client under the agreed SOW.
  • Pre-existing proprietary frameworks, reusable libraries, and internal tooling owned by TechnoPlanet Enterprise remain our exclusive intellectual property, granted under a non-exclusive, perpetual license solely for the operation of the delivered work.

6. Post-Termination Data Retention, Return & Erasure (DPDP & GDPR Aligned)

We adhere to strict data protection standards under the Indian Digital Personal Data Protection Act 2023 (DPDP Act) and the EU/UK General Data Protection Regulation (GDPR) regarding data lifecycle termination:

  • Data Retrieval Window (30 Days): Following termination, the Client has a thirty (30) day transition grace period to export, transfer, or request an archive of all client-owned data, database dumps, and cloud configurations hosted or managed by us.
  • Data Disposal & Secure Purging: Upon expiry of the 30-day transition period, or immediately upon the Client’s verified written request, TechnoPlanet Enterprise will securely delete, overwrite, or destroy all client data, access keys, and backups from our active servers, unless statutory retention laws apply.
  • Statutory Transaction Retention: As required by Indian taxation laws (GST Act, Income Tax Act), banking regulations, and corporate compliance, certain financial transaction records, tax invoices, and audit logs will be securely archived for the mandatory statutory period (up to 7 years) with personal identifiers masked or restricted.
  • Consent Withdrawal & Erasure Requests: If you are an individual data principal wishing to withdraw consent or exercise your right to be forgotten independently of a corporate contract, you may submit a formal request via our Consent Withdrawal Portal.
